CIISec Terms and Conditions of Membership
|The Chartered Institute of Information Security (CIISec) is an English company limited by guarantee (registered number RC000901).
|These terms and conditions apply to the relationship of any person (the “Member”) with CIISec when that Member is applying for, or entering into, membership of CIISec.
2. Acceptance into Membership
|Whether or not the Member’s application for membership is accepted, is a matter reserved to CIISec alone.
|All decisions concerning membership or membership category shall be final and un-reviewable.
3. CIISec Constitution
||It shall be a continuing condition of membership that the Member complies with the provisions of:
(a) CIISec’s Memorandum of Association;
(b) CIISec’s Articles of Association;
(c) CIISec’s Rules (as defined in the Articles of Association); and
(d) CIISec’s Code of Conduct & Ethics.
||CIISec shall raise an appropriate invoice for membership dues. The Member shall pay such dues in such manner as CIISec may reasonably specify.
||The Member agrees to pay the membership dues levied in accordance with CIISec’s Rules. Any failure to pay membership dues on time shall result in a suspension of all membership rights and privileges until such time as membership dues have been paid in full.
||CIISec does not charge VAT.
||CIISec invoices shall be settled within 30 days.
||Services to the Member may be supplied by CIISec or a subsidiary undertaking of CIISec or a third party. If the services are to be supplied by more than one legal entity, then the Member agrees that any fees or charges may be apportioned between CIISec and such other person as appropriate.
||All monies paid are non-refundable.
||Nothing in these terms and conditions shall limit the liability of any person with respect to: (a) death or personal injury as a result of negligence, or (b) fraudulent misrepresentation.
||The Member agrees to pay to CIISec an amount of up to £1 if CIISec is wound up while it is a member or within a period of 12 months after it has left CIISec.
||CIISec’s liability to the member with respect to any event or series of related events in any single membership year shall be limited to the amount of membership dues paid with respect to that membership year.
||Under no circumstances shall CIISec be liable to the member for any indirect or consequential loss or special damages, loss of profit, loss of anticipated savings, wasted management time, Whether or not CIISec has been advised of the possibility of such losses or damages in advance.
||If you are a natural person, your statutory rights are not affected.
6. Special conditions applicable to Corporate Membership
||Introductory note: “Corporate Members” are corporate bodies, partnerships, unincorporated associations who have become Members.
||Corporate Members shall have the various rights and benefits described in the version of CIISec's Corporate Membership brochure outstanding at the time of Membership acceptance.
||To the extent that CIISec describes a Corporate Member’s right to a certain number of “memberships” in CIISec, This means that the Corporate Member has the right to nominate that number of natural persons for membership of CIISec (who does not need to be employed by or otherwise affiliated with the Corporate Member). With respect to each such nominee:
(a) CIISec retains discretion whether or not to accept that person for membership of CIISec;
(b) CIISec retains discretion as to which category of CIISec membership such person is accepted;
(c) the period of such person’s membership shall be co-extensive with the membership term of the sponsoring Corporate Member;
(d) if accepted to membership of CIISec, such person shall be required to comply with these terms and conditions of membership; and
(e) if accepted to membership, such person’s membership shall be personal to the nominee and non-transferable whether or not such nominee changes employment during the membership year.
||If CIISec rejects any such nominated person for membership of CIISec, the Corporate Member shall have the right to nominate a replacement at no additional charge.
||The Corporate Member is advised that its status as a Corporate Member conveys no rights to attend or vote at general meetings.
7. General terms
||Governing law and jurisdiction. These terms and conditions shall be governed by and construed in accordance with English law, and English courts shall have jurisdiction to hear any disputes or disagreements arising from or related to (a) these terms and conditions or (b) the relationship between CIISec and the Member. CIISec and the Member irrevocably consent to the jurisdiction of the English courts.
||Successors and assigns. This Agreement shall inure to the benefit of any successors or assigns of CIISec.
||Third Party Rights. This Agreement does not create any rights under the Contracts (Rights of Third Parties) Act 1999 which is enforceable by a third party who is not a Party to it.
||No Partnership. Nothing in these terms and conditions shall constitute a partnership or joint venture or agency relationship between CIISec and any Member.

Treat allegations of harassment, bullying and victimisation seriously.
Take disciplinary action or other such action as appropriate.
Feel encouraged to make a grievance or protected disclosure, whichever is appropriate.
CIISec will review and seek feedback on how diverse and inclusive it is and is perceived to be.
